The difference between the CD-ROM Version and the Downloadable version is just the medium the software package is being distributed. In CD-Rom version, you have a CD with the software. In the Downloadable version, you need to download the software package and save it to your HD or burn it to a CDR for backup. Other than that, the contents of the software package are identical.

The Downloadable Version is convenient for overseas users; and for those who resides in countries where there are no appointed distributors/retailers.
